OMRON has agreed to acquire industrial computer manufacturer OnLogic and its parent company, Interlogic, in a cash transaction with an enterprise value of $675 million on a debt-free, cash-free basis. OMRON disclosed the agreement in its acquisition notice.

Transaction Terms

The agreement was signed on October 10, 2026, Japan time. OMRON plans to fund the payment primarily from cash on hand.

The transaction will use a reverse triangular merger: a newly established OMRON subsidiary will merge into Interlogic, with Interlogic surviving as OMRON's wholly owned subsidiary. OnLogic will become an indirect subsidiary. Source: OMRON transaction disclosure.

OnLogic to Retain Its Brand and Management

OnLogic is expected to operate independently within the OMRON group, retaining its brand, direct-sales model, South Burlington, Vermont headquarters, and global offices. Its current management team, led by CEO Sean Larkin, is expected to remain in place. OMRON also says it will maintain its existing channel strategy. Source: OMRON announcement.

OMRON's Stated Rationale

OMRON says the purchase will expand its industrial computing capabilities and support its strategy for manufacturing-site digital transformation and physical AI. The company intends to combine OnLogic's configurable industrial computers with its sensing, control, and robotics technologies.

The companies also describe opportunities to expand their reach in the Americas and Europe and develop applications connecting machine data, edge computing, and automation. These are the companies' stated objectives for the combination. Source: OMRON's strategic overview.
